Terms & Conditions

These Terms & Conditions (hereinafter "Terms") govern the contractual relationship between Symbioze.ai (hereinafter the "Provider") and its clients (hereinafter the "Client") concerning the provision of agentic artificial intelligence services.

The services offered by Symbioze.ai include:

• Development and design of custom AI agent architectures
• Training and configuration of artificial intelligence models
• Integration of AI solutions into the Client's operational processes
• Technical support and maintenance of deployed solutions

Any order for services implies unreserved acceptance of these Terms by the Client.

2.1. Access Conditions

Symbioze.ai services are exclusively reserved for professionals (B2B). Access to services is conditional upon:

• Being a legal entity or professional acting within the scope of their commercial, industrial, artisanal, or liberal activity
• Acceptance of these Terms
• Provision of accurate and complete information when creating an account

2.2. Account Creation

The Client agrees to provide accurate, complete, and up-to-date information. Any false declaration may result in immediate suspension or termination of the account.

3.1. Order Process

Any service order follows this process:

1. Proposal issuance: The Provider prepares a detailed proposal specifying the nature of services, execution timelines, and financial conditions
2. Proposal signature: The Client accepts the proposal by electronic or handwritten signature, which constitutes a firm and final order
3. Deposit payment: A deposit, the amount of which is specified in the proposal, is due upon signing
4. Project launch: The Provider begins service execution upon receipt of the deposit

3.2. Proposal Validity

Proposals are valid for thirty (30) days from their date of issue. After this period, the Provider reserves the right to modify the proposed conditions.

4.1. Pricing

Service prices are indicated in euros, excluding taxes. They are firm and non-revisable during the contract execution period, unless otherwise agreed between the parties.

Prices may be revised in case of substantial modification of the order requested by the Client after signing the proposal.

4.2. Payment Terms

Payment is made according to the following terms:

• Deposit upon order (amount specified in the proposal)
• Balance upon delivery or according to the schedule agreed in the proposal

4.3. Payment Deadlines

Invoices are payable according to the conditions agreed in the proposal. In the absence of specific stipulation, invoices are payable within thirty (30) days end of month.

4.4. Late Payment

Any late payment automatically results in, without prior notice:

• Application of late payment interest at three (3) times the legal interest rate in effect
• A fixed indemnity for collection costs of forty (40) euros, increased to seventy (70) euros if actual costs incurred are higher
• Immediate suspension of ongoing service execution

5.1. Best Efforts Obligation

Symbioze.ai commits to providing services with all required diligence and professionalism. The Provider is subject to a best efforts obligation, not an obligation of result.

5.2. Limitation of Liability

The Provider's liability is limited to the total amount paid by the Client for the service concerned, except in cases of gross negligence or willful misconduct.

The Provider shall not be liable for indirect damages, including loss of revenue, loss of customers, or any other commercial harm.

6.1. Client Data

The Client retains full ownership of their data. Symbioze.ai commits not to use Client data for purposes other than executing the ordered services, in accordance with the Privacy Policy.

6.2. Code and Methodology

Unless otherwise stipulated in the proposal or specific contract:

• The Client owns the solution developed specifically for their needs
• Symbioze.ai retains ownership of reusable code blocks, methodologies, frameworks, and generic tools developed or used in the course of the service

6.3. License of Use

The Client benefits from a perpetual and exclusive license to use the solution developed for their needs, within the scope of their professional activity.

7.1. Termination by Client

The Client may terminate the contract at any time, subject to thirty (30) days' notice, by registered letter with acknowledgment of receipt or by email with acknowledgment of receipt.

In case of early termination, the Client remains liable for services already performed and invoiced, as well as services in progress at the time of termination.

7.2. Termination by Provider

Symbioze.ai may terminate the contract in case of:

• Non-payment of invoices after formal notice remaining without effect
• Serious breach by the Client of their contractual obligations
• Fraudulent or unauthorized use of services

Termination takes effect immediately, without notice, in case of serious breach.

These Terms are governed by French law.

In case of dispute and failing amicable agreement, the parties agree that the competent courts are those of the Commercial Court of [Your City].

In accordance with Article L. 612-1 of the French Consumer Code, the Client may have recourse free of charge to a consumer mediator for the amicable resolution of any dispute with the Provider.
